These Terms and Conditions govern your access to and use of Pezzi. By visiting our website, creating or accessing an account, or using the service, you agree to these terms and our Privacy Policy. If you do not agree, do not use Pezzi.
You must be at least 18 years old and able to enter into a binding agreement. Pezzi is intended for lawful business use, not personal, family, or household financial management. If you use Pezzi for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
Pezzi provides software for bookkeeping, financial account connections, transaction categorization, accounting records, invoicing, bills, documents, reporting, tax-related workflows, and related business functions. Subject to these terms, Pezzi grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business purposes.
We may add, modify, suspend, or discontinue features, integrations, or availability. We will provide notice when reasonably practicable if a material change substantially reduces paid functionality.
Cancellation requires 30 days’ advance notice. To avoid being charged for your next billing cycle, you must cancel at least 30 days before your next billing date. If you cancel fewer than 30 days before that date, the upcoming cycle will still be billed, your cancellation takes effect at the end of that cycle, and you keep access to the service through the end of the period you paid for.
All fees are non-refundable. Pezzi does not issue refunds or returns for subscription fees, partial billing periods, unused time, or features you did not use. Subscription fees pay for work that has already been performed on your account, including the bookkeeping, review, and preparation work that helped ensure the accuracy of your books and tax returns.
You retain ownership of the business, financial, and other content you submit to Pezzi (“Your Data”). You grant Pezzi and its service providers a worldwide, non-exclusive license to host, copy, process, transmit, display, and otherwise use Your Data only as needed to provide, secure, support, and improve the service; comply with law; and enforce these terms.
You are responsible for the legality, accuracy, completeness, and quality of Your Data and for maintaining any copies you require. You must have all rights, notices, permissions, and consents needed to provide information about customers, employees, vendors, and other people.
Pezzi relies on third-party services, including Plaid for financial account connections and Stripe for subscription payments. Those services are governed by their own terms and privacy policies. You authorize Pezzi and those providers to access and process information as necessary to deliver the features you request.
Financial institution data may be delayed, incomplete, unavailable, or inaccurate. Pezzi is not responsible for third-party outages, changes, fees, or acts, but we will take reasonable steps to restore affected Pezzi functionality.
Pezzi is software and is not an accounting firm, law firm, financial adviser, tax preparer, fiduciary, or financial institution. Unless Pezzi separately agrees in writing to provide a professional service, categorizations, journal entries, reports, forecasts, tax references, suggestions, and AI-generated outputs are informational tools and do not constitute accounting, tax, legal, investment, or financial advice.
Automated and AI-generated outputs may be incomplete or incorrect. You are responsible for reviewing outputs, source documents, filings, deadlines, and financial decisions and for consulting qualified professionals when appropriate. Use of Pezzi does not guarantee tax savings, compliance, accuracy, funding, or any particular business result.
You may not, and may not help anyone else to:
Pezzi and its licensors own the service, software, designs, documentation, trademarks, and other materials we provide, excluding Your Data. No rights are granted except the limited right to use the service under these terms. If you provide suggestions or feedback, you grant Pezzi a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation.
You agree that we may send electronic communications relating to your account, security, billing, support, and these terms. You are responsible for keeping your contact information current. You may opt out of marketing messages, but not essential service or legal notices.
You may stop using Pezzi and cancel your subscription at any time, subject to the 30-day cancellation notice and the no-refund terms in Section 4. We may restrict, suspend, or terminate access if you violate these terms, fail to pay fees, create legal or security risk, misuse the service, or if required by law. Where appropriate, we will provide notice and an opportunity to cure.
After termination, your right to use Pezzi ends. Subject to account status, technical feasibility, and legal retention duties, we may provide a reasonable opportunity to export Your Data before deletion. Sections that by their nature should survive termination—including ownership, disclaimers, limitations of liability, and indemnification—will survive.
We work to keep Pezzi available and secure, but the service may experience interruptions, delays, errors, or data-source limitations. Beta, preview, or experimental features may be changed or removed at any time and are provided for evaluation without service commitments.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEZZI AND ITS SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PEZZI DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEZZI AND ITS AFFILIATES, PROVIDERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF PEZZI AND THOSE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PEZZI FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100. THESE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT LEGALLY BE LIMITED.
To the extent permitted by law, you will defend, indemnify, and hold harmless Pezzi and its affiliates, providers, officers, employees, and agents from third-party claims, damages, losses, liabilities, and reasonable costs arising from Your Data, your or your authorized users’ use of Pezzi, your violation of these terms or law, or your infringement of another person’s rights.
We may update these terms to reflect changes to the service, our practices, or applicable law. We will post the revised terms with a new effective date and provide additional notice of material changes when required. Continued use after revised terms take effect means you accept them; if you do not agree, you must stop using Pezzi.
These terms and the Privacy Policy are the entire agreement between you and Pezzi concerning the service unless a separate written agreement applies. If a provision is unenforceable, it will be modified only as much as necessary and the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these terms without Pezzi’s written consent; Pezzi may assign them in connection with a reorganization, merger, acquisition, or sale of assets. Pezzi is not responsible for delay or failure caused by events beyond its reasonable control.
Questions about these terms may be sent to support@pezzi.io.
